2. Client Responsibilities
By engaging with Valley Digital Studio, you agree to:
Provide accurate and timely information
Supply required content, images, or access credentials as needed
Respond to project updates or requests in a timely manner
Adhere to project timelines and payment schedules
Delays caused by lack of communication or missing information may result in project delays or additional fees.
3. Payment Terms
Payment terms are outlined in project proposals or service agreements.
A deposit is typically required to begin work
Remaining balances are due upon project completion or as scheduled
Late payments may incur a service fee or result in paused services
We accept payment by credit card, ACH transfer, or other agreed-upon methods.
4. Intellectual Property
All content, designs, and code created by Valley Digital Studio remain our property until final payment is made. Upon full payment:
The client is granted full rights to the completed website and deliverables
Valley Digital Studio retains the right to display work in our portfolio or marketing materials
Any third-party content (e.g. stock images, plugins, fonts) is licensed in accordance with its provider’s terms.
5. Website Hosting & Maintenance
If hosting or maintenance services are provided:
We make commercially reasonable efforts to ensure uptime, security, and functionality
We are not liable for issues resulting from third-party services, plugin conflicts, or unauthorized changes made by the client or third parties
Monthly hosting and maintenance plans are billed on a recurring basis and may be canceled with written notice.
6. Limitation of Liability
To the fullest extent permitted by law, Valley Digital Studio shall not be held liable for:
Any direct, indirect, incidental, or consequential damages
Data loss, loss of revenue, or downtime
Third-party software or platform outages
User-generated content or legal compliance of the client’s website
Our total liability shall not exceed the amount paid by the client for the service in question.
7. Termination of Services
We reserve the right to terminate or suspend services if:
You breach these Terms
You fail to make payments or respond within a reasonable timeframe
You engage in abusive, fraudulent, or unlawful behavior
Clients may also cancel services with written notice, subject to applicable fees outlined in their agreement.
8. Modifications to Terms
We may update these Terms of Service at any time. Changes will be posted on this page with a new effective date. Continued use of our website and services indicates your acceptance of the updated terms.
9. Governing Law
These terms are governed by the laws of the State of Arizona. Any legal action shall be brought exclusively in the courts located in Maricopa County, Arizona.
